Form S-1
The document a US company files with the securities regulator to prepare an initial public offering.
A Form S-1 is the paperwork a company submits to the US Securities and Exchange Commission before it sells shares to the public for the first time. It usually describes the business, its finances and its risks.
Filing one is a first step, not the finish line. Until the regulator lets the registration take effect, no shares can be sold, and details like the price and number of shares are often still blank.
